Terms of Service

"Content" means any text, audio, voice, image, video, prompt, script, or other material you upload, generate, edit, publish, or otherwise process using the Services. "Input" means material you provide (for example, a reference voice, photo, or script). "Output" means material the Services generate from your Input and instructions. "Marketplace" means the public area where creators publish and remix listings.

You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization, and "you" includes that organization.

Authentication is provided by Clerk. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at [email protected] of any unauthorized use.

Launch services may include Audiobook, Audio Podcast, Audio Stories, Audio Greetings, Audio E-learning, Voice Clone, Singer Voice, Character Clone, Songs, Commercial Jingles, Poem, Shayari, HeadshotPro, Photo Ads, Video Podcast Creator, and Product Photography. We may add, remove, rename, limit, meter, or improve any service as the platform evolves. Beta or "coming soon" features may change or be withdrawn without notice.

Your Content. As between you and us, you retain the rights you hold in your Input and, to the extent permitted by applicable law and these Terms, in the Output you generate. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, reproduce, and display your Content solely to operate, secure, and improve the Services and to provide features you request (such as playback, editing, export, and publishing).

Public listings. If you publish to the Marketplace or a public creator profile, you additionally grant us and other users a licence to view, stream, and (where you enable it) remix that listing as described in its listing settings. You can unpublish a listing at any time, subject to caching and copies others may have already made.

Our property. The Services, software, models, interfaces, trademarks, and the AutorunX name and logo are owned by us or our licensors. These Terms grant you no rights in them except the limited right to use the Services.

AI output disclaimer. Generative outputs may be inaccurate, may resemble existing works, and may not be eligible for copyright protection in every jurisdiction. You are responsible for reviewing Output before relying on or distributing it.

You represent, warrant, and agree that, for all Content you submit or generate:

• You own or have all rights, licences, consents, and permissions necessary to use the Input and to create and use the Output, including any third-party music, lyrics, scripts, images, trademarks, or recordings.
• You have obtained explicit, verifiable consent from any identifiable person whose voice, likeness, image, name, or performance you clone, imitate, or reproduce.
• Your Content does not and will not infringe or misappropriate any copyright, trademark, publicity, privacy, moral, or other right of any person, and does not violate applicable law in India, the United States, the European Union/EEA, the United Kingdom, or any other jurisdiction where you or your audience are located.

Your use of the Services is governed by our Acceptable Use Policy, which is incorporated into these Terms. Without limiting it, you may not use the Services to:

• infringe or facilitate infringement of any intellectual property or other right;
• clone or imitate a real person's voice, face, likeness, or performance without that person's explicit consent, or impersonate any person or entity;
• create deceptive deepfakes, fraud, defamation, harassment, or content that endangers others;
• create child sexual abuse material, non-consensual intimate imagery, or other illegal content;
• distribute malware, attempt to disrupt, overload, reverse engineer, or circumvent limits on the Services or other users; or
• violate any applicable law, regulation, or third-party terms.

We may, in our discretion and without liability, review, refuse, moderate, restrict, unpublish, or remove any Content or listing, and suspend or terminate accounts, that we reasonably believe violate these Terms or create legal or safety risk.

We respect intellectual property rights and respond to valid notices under the U.S. Digital Millennium Copyright Act (17 U.S.C. § 512), the Indian Information Technology Act and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, and the EU Digital Services Act. To report infringement or submit a counter-notice, follow our Copyright & Takedown Policy. We maintain a repeat-infringer policy and may terminate accounts of repeat infringers.

Public profiles and approved listings can be indexed by search engines and shared. You are solely responsible for the rights, accuracy, lawfulness, and suitability of what you publish. Listings that violate policy or create risk may be moderated, unpublished, or removed at any time.

Usage is metered through credits and plan limits managed by the platform. Fees, currencies, renewal terms, taxes, and refunds follow the checkout agreement shown by our payment processor at purchase. Polar is the global/default provider; Razorpay handles eligible India subscriptions after configuration. We do not store full card, UPI, or bank details on our servers. Except where required by law, fees are non-refundable once the corresponding credits or service period have been delivered. We may change pricing prospectively.

The Services rely on third parties (including Clerk for authentication, Polar and Razorpay for payments, and cloud and AI infrastructure providers). Your use of those services may be subject to their own terms, and we are not responsible for them.

AI-assisted support can help troubleshoot issues and create tickets. A ticket does not guarantee a resolution time unless a separate written support agreement applies.

We strive for reliable operation but do not guarantee uninterrupted or error-free access. To the maximum extent permitted by applicable law, the Services and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, non-infringement, and accuracy.

To the maximum extent permitted by applicable law, neither Bluehans (OPC) Pvt. Ltd. nor its officers, employees, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Services will not exceed the greater of (a) the amounts you paid us for the Services in the three months before the event giving rise to the claim, or (b) INR 5,000. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless Bluehans (OPC) Pvt. Ltd. and its affiliates, officers, and employees from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or related to your Content, your use of the Services, your violation of these Terms or applicable law, or your infringement of any third-party right.

You may stop using the Services at any time. We may suspend or terminate your access, remove Content, or close your account if you violate these Terms or applicable law, or to protect the Services or other users. Sections that by their nature should survive termination (including IP, disclaimers, liability, indemnity, and governing law) will survive.

These Terms are governed by the laws of India, without regard to conflict of laws rules. Subject to the arbitration provision below, the courts at [City], India have exclusive jurisdiction. Any dispute that is not resolved informally will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at [City], India, conducted in English. Nothing prevents either party from seeking injunctive relief from a court for infringement or misuse of intellectual property or confidential information. Mandatory consumer-protection rights in your country of residence are not affected by this clause.

We may update these Terms from time to time. Material changes will be reflected by a new version number and effective date at the top of this page, and where appropriate we will notify you. Your continued use of the Services after changes take effect constitutes acceptance.
